For clients looking to embark on a securities offering, we keep track of the changing landscape of the securities laws to offer you the most up-to-date information and options for your business. Our attorneys take the time to get to know your existing and prospective business in order to determine what state and federal registrations may be required, be they based on investment advisor, broker-dealer or issuer activities. We patiently and efficiently work with clients to draft thorough and precise offering documents including private placement memoranda, subscription agreements and investor suitability questionnaires. Our experience in the securities space includes guiding clients on “friends and family” raises, venture capital and convertible note financings, crowdfunding options, and private offerings with and without general solicitation.
ACQUISITIONS
In our experience, most business combination transactions take the form of acquisitions as opposed to mergers. Our attorneys have significant experience counseling clients on such transactions including analyzing implications of stock purchase versus asset purchase deals, conducting due diligence, and drafting and negotiating purchase agreements, confidentiality agreements, consulting agreements and other transaction-related documents. Whether representing seller or buyer, SJK’s attorneys are able to provide competent counsel regarding risks, rewards and alternatives to important provisions such as those governing representations and warranties and indemnification obligations, to name a few. CORPORATE FINANCE (including Islamic finance)

Our attorneys can provide effective and knowledgeable counsel when dealing with banks, angel investors and venture capital firms that typically hold the upper hand. Additionally, for those clients that require it, SJK’s attorneys have experience working with Islamic finance advisors to structure deals that meet Islamic finance criteria.
COPYRIGHT AND TRADEMARK
For some of our corporate clients, their intellectual property is their most valuable asset. Our attorneys guide clients on copyright and trademark protection including advising clients on how best to protect their IP. To that end, our attorneys have experience preparing individual trademark filings to managing full portfolios of trademarks. Furthermore, our attorneys counsel clients on preventing trademark dilution by, for example, drafting effective cease and desist letters and taking appropriate further action, such as filing lawsuits seeking injunctive relief when deemed necessary.
